These Terms are entered into by and between you and Ogentic AI, Inc., a Delaware corporation (“ChatNIL”, “we”, “us”, or “our”).

1. Acceptance

By using ChatNIL.ai (website, chat, or app), you agree to these Terms. If you do not agree, do not use the service.

2. Who can use it

You must be 13+ (or have parental consent if under 18). You are responsible for all activity under your account.

3. What ChatNIL is (and isn’t)

ChatNIL provides general educational information about Name, Image, and Likeness (NIL) topics.

4. User conduct

Do not share illegal, harmful, or abusive content. Do not attempt to reverse-engineer, scrape, or overload the service. Do not use it for commercial purposes without written permission.

5. Intellectual property

The service, design, and content (except your chats) are owned by Ogentic AI, Inc. You retain ownership of what you type in chat.

6. Paid plans

ChatNIL may offer paid plans. If and when it does, the price and billing terms will be shown before you purchase, and you can cancel anytime via account settings.

7. Disclaimers & limitation of liability

The service is provided “as is”, with no warranties. We are not liable for any damages arising from use (including eligibility issues, tax penalties, or bad deals). Maximum liability equals the amount you paid us in the last 12 months (or $100 if you are a free user).

8. Termination

We can suspend or terminate access for any reason. You can delete your account anytime.

9. Governing law & dispute resolution

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved by arbitration in Wilmington, Delaware under JAMS rules. Judgment may be entered in any court having jurisdiction.

10. Changes

We may update these Terms. Continued use means acceptance.
